This Vendor Agreement (“Agreement”) is between Ocanzo Technologies, a sole proprietorship registered in India under Udyam Registration Number UDYAM-MH-33-0774676, operating the Ocanzo platform (“Ocanzo”, “we”, “us”), and you, the venue owner or authorised representative (“Vendor”, “you”). It governs your participation as a Vendor and supplements Ocanzo’s Terms & Conditions.
By registering as a Vendor, you confirm that you have read, understood, and agree to this Agreement.
1. Onboarding and verification
1.1. Registration requirements. To list a venue (“Space”) you must provide: your business name and contact details, a valid PAN, active bank account details for payouts, at least one Space with complete listing information, and a minimum of 5 photos per Space.
1.2. Optional documentation. GSTIN (if GST-registered) and an FSSAI licence (recommended where food is offered).
1.3. Review. After you submit, we review your profile and listings. We may verify your venue through publicly available information, request further documentation, and approve, request changes to, or reject a listing at our discretion.
2. Commission and fees
2.1. Commission. Ocanzo charges a commission on each completed Booking:

“Total booking amount” means the amount paid by the Customer for venue rent, food package, décor, and add-on charges. It excludes any refundable security deposit.
2.2. No listing fees. There is no charge to list. You pay commission only when a Booking is completed.
2.3. Changes. We may revise commission rates with 30 days’ written notice. Changes apply to Bookings made after the effective date, not to existing confirmed Bookings.
3. Payouts
3.1. Timeline. Your earning becomes eligible 24 hours after the event ends. You may request a payout any time thereafter (minimum ₹500). We process requests within 2–3 business days; funds typically reach your bank 1–2 business days later.
3.2. Method. Payouts are made by NEFT/IMPS to the bank account on your Ocanzo profile. You are responsible for keeping those details accurate.
3.3. Deductions. Each payout equals the total booking amount, minus the 12% commission, minus GST on commission (where applicable), minus 1% TDS.
3.4. TDS certificates. We will issue TDS certificates (Form 16A) quarterly as required by the Income Tax Act.
4. Listing standards
4.1. Accuracy. Your listing must accurately represent your venue — its photos, description, amenities, pricing, and safe capacity.
4.2. Photos. Minimum 5 per Space. Clear, well-lit, recent (taken within the last 12 months), of the actual venue. No stock photos.
4.3. Availability. Keep your calendar current and block dates you cannot fulfil. Respond to booking requests within the approval window (typically 24 hours).
4.4. Pricing parity. Prices listed on Ocanzo will be equal to or better than the prices you offer for the same Space, date, and services through any other channel.
5. Your obligations
5.1. Legal compliance. You are responsible for holding all licences and permits required to operate your venue, complying with local noise and safety regulations, paying all applicable taxes on your income, and maintaining adequate insurance.
5.2. Safety. Maintain the venue in a safe condition, ensure adequate fire exits, first aid, and emergency procedures, and report any incident or injury during a booked event to Ocanzo within 24 hours.
5.3. Non-discrimination. You may not refuse a Booking on the basis of a Customer’s religion, caste, gender, sexual orientation, disability, place of origin, or any other protected characteristic.
5.4. Communication. All booking-related communication must take place through the Platform. Do not solicit Customers to book directly with you outside the Platform.
6. Prohibited conduct
You may not: list a venue you do not own or are not authorised to offer; accept payment outside the Platform for a Booking made through Ocanzo; provide a venue or service materially different from the listing; cancel confirmed Bookings to take a higher-paying one; create fake bookings or reviews; harass or abuse Customers or staff.
7. Suspension and termination
7.1. By you. You may deactivate a listing or close your account at any time. Active Bookings must be honoured or cancelled under the Cancellation & Refund Policy first.
7.2. By us. We may suspend or terminate your account for breach of this Agreement or the Terms, repeated Customer complaints, repeated cancellations, fraud, or inaccurate listings.
8. Liability and indemnity
8.1. Our role. Ocanzo is a marketplace facilitator, not a co-host or party to the Customer–Vendor arrangement. We do not control or guarantee Customer conduct or the number of bookings you receive.
8.2. Indemnity. You agree to indemnify and hold harmless Ocanzo and Ocanzo Technologies from any claim, damage, or expense arising from events held at your venue, injuries or damage at your venue, your breach of any law, or inaccurate listing content.
9. Governing law and contact
This Agreement is governed by the laws of India, subject to the exclusive jurisdiction of the courts at Thane, Maharashtra.
